Job Description
We are recruiting for an Asia Pacific Real Estate Fund and with exponential growth expected in their key business, they are now seeking an in-house legal counsel.
Reporting to the COO, you will serve as a strategic advisor focusing on transaction execution, legal risk management, and ongoing asset management. This in-house role involves structuring investments, negotiating complex deals, and ensuring regulatory compliance across jurisdictions.
Key Responsibilities
- Investment Transaction Execution: Lead and independently execute real estate acquisitions, disposals, joint ventures (JVs), and platform investments from term sheet through to closing.
- Legal Structuring & Due Diligence: Advise on transaction structures and conduct legal due diligence.
- Negotiation: Draft, review, and negotiate purchase agreements, shareholders’ agreements, financing documents, and management contracts.
- Asset Management Support: Provide ongoing legal support for portfolio companies, including financing, refinancing, leasing, and restructuring.
- External Counsel Management: Manage and coordinate external legal firms across multiple jurisdictions to ensure cost-effective and timely execution.
- Compliance & Governance: Ensure compliance with local regulations, fund documentation, and internal policies, collaborating with compliance teams to mitigate risks.
Required Experience & Qualifications
- PQE (Post-Qualification Experience): Generally, requires 8–10+ years of experience in commercial law, often specializing in PE/M&A practices.
- Background: Trained at a law firm, with in-house experience at a PE or real assets platform being an advantage.
- Sector Expertise: Strong exposure to real assets, infrastructure, or private equity transactions (especially in APAC).
- Technical Skills: Deep knowledge of real estate finance, joint ventures, and corporate governance
