Job Description
We are recruiting for a Mainboard Listed company with diversified investment and business interests.
Reporting to the CEO directly, you will be heading up this function and be responsible in developing and implementing the company’s legal strategy to mitigate risks and support business objectives. You will act as a key advisor to senior management on risk management frameworks, ethical issues, and codes of conduct as well as identifying potential risks across various domains of law that could impact the organization.
You will provide legal advice on all corporate, commercial, and regulatory matters. You will ensure compliance with applicable laws and regulations, including those of the Singapore Exchange (SGX) and other regulatory bodies as well as. You will oversee external counsel relationships and manage legal budgets effectively.
You will ensure compliance with the Companies Act, SGX listing rules, and other statutory requirements, managing corporate governance practices, including advising the board on governance frameworks and best practices. This will include facilitating communication between the board of directors, shareholders, and regulatory authorities as well as overseeing the preparation and filing of statutory documents such as annual returns and resolutions with ACRA.
Requirements
• Degree in Law (LLB) from a recognized institution and have about 10 years of experience as an in-house counsel for a listed entity.
• Track record in corporate secretarial work for SGX-listed companies or equivalent experience.
• Good understanding of Singapore’s regulatory landscape, including SGX listing requirements.
• Admission to the Singapore Bar (or eligibility to be called to the Singapore Bar) will be an advantage with people management/leadership experience
